GOVERNING LAW AND JURISDICTION
- Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms of Usage, including the scope or applicability of this Terms of Usage, or your use of our services, shall be resolved by arbitration in India. The arbitration will be conducted by a sole arbitrator mutually appointed by the parties, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, and all proceedings shall be conducted in English. The arbitrator’s award shall be final and binding on both parties.
- Interim Relief: Notwithstanding the above, either party may seek interim or preliminary relief from a court of competent jurisdiction in New Delhi to protect their rights pending arbitration. Both parties agree to submit to the exclusive jurisdiction of the courts of India, with venue in New Delhi, for any such proceedings. If any party files an action contrary to this provision, the other party may recover reasonable attorneys’ fees and costs up to One Lakh Rupees INR.
- Governing Law: These Terms of Usage shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. If any provision of these Terms or the associated Privacy Policy is found to be unenforceable or invalid by a court of competent jurisdiction, such provision will be modified to reflect the original intent of the parties as closely as possible within the limits of applicable law. The remainder of the Terms and Privacy Policy will remain in full force and effect.
- Scope of Interpretation: Headings in these Terms are for reference purposes only and do not define, limit, construe, or describe the scope or extent of any section. Any waiver of any provision of these Terms will be effective only if in writing and signed by Nadi Astro Center. These Terms constitute the entire agreement between the parties regarding the subject matter and supersede any prior agreements, understandings, or negotiations, whether written or oral.
- Dispute Resolution: These Terms and your use of our services will be interpreted under Indian laws, excluding its conflict of law rules. The parties agree to submit to the jurisdiction of the courts located in New Delhi for any actions where equitable relief is sought to prevent actual or threatened infringement of intellectual property rights, including copyrights, trademarks, and trade secrets.
